Gumroad Terms of Service: Five Clauses Sellers Should Read First
This page is general information, not legal advice.
The Gumroad Terms of Service are a contract with Gumroad, Inc. When you sell on Gumroad, it acts as the merchant of record and resells your digital products. That makes you a "Supplier," and the seller sections apply to you. This page reviews the version with an Effective Date of January 1, 2025 and a Last Updated Date of September 14, 2026. The terms say accounts that already existed when those changes were posted are bound by them on October 14, 2026. Five clauses put most of the money risk on sellers. For each one, you get the exact wording, why it matters and what to ask for instead. Individual sellers can rarely negotiate standard terms, so treat this as a checklist.
1. Holds on your funds with no maximum period
Gumroad may place a hold on any or all of Supplier's funds pending settlement or not yet paid to Supplier (as applicable), and may pause, decline, delay or reduce any payout, in each case in Gumroad's sole discretion and whether or not Supplier's Account is suspended or terminated ... (2) no fixed or maximum hold period applies to a hold under this Section 11.3(c);

Why it works against you
A hold "may be applied to an Account that remains otherwise in good standing and able to sell." The triggers are broad. For example, Gumroad can place a hold if transactions present "an elevated risk of chargeback, refund, dispute or loss" or if a review is open. Gumroad releases the funds once the issue is resolved "to Gumroad's reasonable satisfaction," and held funds "do not accrue interest in Supplier's favor." Any timeline Gumroad publishes "is an estimate and not a commitment." Gumroad can also delay notice if it "would compromise an investigation." If your income depends on payouts, they could stop with no end date.
What to ask for instead
Sample wording to propose: "A hold will not last longer than 90 days unless the law or a payment partner requires it. The seller will receive written reasons and a list of what is needed to release the funds."
2. Keeping your money as liquidated damages
If the review concludes that there is a reasonable basis to believe misconduct has occurred, Supplier agrees that Gumroad may retain funds in Supplier's Account as liquidated damages and/or for the benefit of Gumroad or third parties affected by the misconduct. Supplier acknowledges and agrees that such liquidated damages: (i) are not a penalty, and (ii) are reasonable and not disproportionate to such presumed damages to Gumroad.

Why it works against you
Gumroad runs the review "in a manner determined by Gumroad in its sole discretion." The standard is only a "reasonable basis to believe" misconduct happened, not proof. You also agree in advance that keeping your money is "not a penalty," which makes it harder to argue later that it was excessive. Whether a clause like this can be enforced depends on the law that applies, and that varies by jurisdiction. See liquidated damages clauses explained.
What to ask for instead
Sample wording to propose: "Gumroad may keep funds only up to the documented losses caused by the seller's breach. It will provide an itemized statement and pay out any remaining balance."
3. Gumroad decides refunds, and you pay for them
Gumroad will handle Buyers' requests for refunds, chargebacks and other disputes with Buyers in Gumroad's sole discretion. ... Supplier is responsible for reimbursing Gumroad for the amount of any monies paid by Gumroad to Buyers or Third-Party Service Providers, or any other parties, in connection with refunds, chargebacks or disputes, as well as for any other reasonable costs incurred by Gumroad in resolving these requests.
Source: https://gumroad.com/terms, retrieved 2026-10-30.
Why it works against you
Gumroad decides whether a buyer gets a refund, and you pay for it, along with "any other reasonable costs." If your refund rate goes above 15%, Gumroad can hold 25% of your pending funds in reserve for 90 days on a rolling basis. Above 25%, your account may be suspended or face extra fees. Gumroad can also deduct from unpaid funds any amounts "reasonably likely to become due." You also can't ask buyers to accept terms that limit Gumroad's refund rules.
What to ask for instead
Sample wording to propose: "Before approving a disputed refund, Gumroad will notify the seller and consider the seller's evidence. The seller only has to repay the refunded amount and the actual fee the payment provider charged."
4. Losing unpaid money when you change payout country
If Supplier changes payout country, or changes payout method in a way that requires a different connected account, any unpaid amount that cannot be transferred is forfeited when the change takes effect.
Source: https://gumroad.com/terms, retrieved 2026-10-30.
Why it works against you
Some unpaid amounts sit with a payment provider "on an account that is specific to Supplier's then-current payout country." Gumroad uses Stripe and PayPal. There are some protections. Gumroad will move the money to the new account if it can. Before the change takes effect, it will tell you how much you'd lose and wait for you to confirm. It also won't change your country while a payout is in progress. Still, forfeited amounts "are not later released as held funds." If you're moving abroad, withdraw your balance before you switch. See Stripe Services Agreement explained.
What to ask for instead
Sample wording to propose: "Before a payout country or method changes, Gumroad will pay all available balances to the existing payout method. No balance will be forfeited because of the change."
5. Arbitration, with a 30-day window to opt out
you and Gumroad agree that any dispute, claim, disagreements arising out of or relating in any way to your access to or use of the Services ... will be resolved by binding arbitration, rather than in court
Source: https://gumroad.com/terms, retrieved 2026-10-30.
Why it works against you
You give up a jury trial and class actions. Before you can start arbitration, you must send a written Notice, and Gumroad has 45 days to respond. You can opt out only by mailing a written notice within thirty days "after first becoming subject to this Arbitration Agreement." Later changes to the arbitration terms don't give you a new chance to opt out. Small claims court is still available. If a dispute does go to court, it goes under California law to courts in San Francisco County. Compare mandatory arbitration clauses explained. Whether these limits apply to you is a question for a qualified lawyer.
What to ask for instead
Sample wording to propose: "Users may opt out of arbitration by email within 30 days of any material change to the Arbitration Agreement."

Gumroad "reserves the right to set the price (or license fee) at which such Product is offered for resale to Buyers through the Services" (Source: https://gumroad.com/terms, retrieved 2026-10-30). Gumroad may also "suspend or terminate an Account ... at any time, in its sole discretion, without cause or notice to you." Its liability to you is capped at the greater of what you paid Gumroad in the one month before the problem or $100. See limitation of liability clauses explained. As a seller, you also agree to indemnify Gumroad for claims related to your products and your own websites. See indemnification clauses explained. You give Gumroad a perpetual, irrevocable license to Your Content for operating the Services. See perpetual content licenses explained. For comparison, see Etsy seller policy explained.
