Zoom Terms of Service: Five Clauses Worth Reading Before You Subscribe
This page is general information, not legal advice.
The Zoom Terms of Service are a contract with Zoom Communications, Inc. and its affiliates. They apply unless you have signed a separate Master Subscription Agreement. You can accept them for yourself or for a business you represent. This page reviews the version with an effective date of August 11, 2023. In that version, five clauses shift cost or risk onto you. For each one, you get the exact wording, why it matters and what to ask for instead. Most individual users and small teams can't negotiate standard terms, so treat this as a checklist. How these clauses apply also varies by jurisdiction.
1. A perpetual license over your content
Zoom will only access, process or use Customer Content for the following reasons ... You grant Zoom a perpetual, worldwide, non-exclusive, royalty-free, sublicensable, and transferable license and all other rights required or necessary for the Permitted Uses.

Why it works against you
You keep ownership, and the license is limited to the listed "Permitted Uses." Still, it's perpetual, sublicensable and transferable, and the survival section keeps "license rights granted by you to Zoom" alive after termination. Customer Content is defined broadly. It includes "any resulting transcripts, recordings, outputs." Zoom states that it does not use "audio, video, chat, screen sharing, attachments or other communications-like Customer Content" to train AI models. That promise covers those listed categories. Separately, Zoom owns all "Service Generated Data," such as telemetry and usage data. See perpetual content licenses explained.
What to ask for instead
Sample wording to propose: "The license ends when the customer deletes the content or closes their account, except where retention is required by law. No Customer Content of any kind will be used to train AI models without the customer's opt-in consent."
2. Automatic renewal with non-refundable payments
each Renewal Term for the Services will begin automatically at the end of the then-current Initial Subscription Term or Renewal Term, as the case may be, unless either party provides written notice of termination or modification of the Services provided under such Order Form (i) at least thirty (30) calendar days prior to the commencement of the next Renewal Term ... You agree that all payments are non-cancelable for the Initial Subscription Term or the then-current Renewal Term, as applicable, and are final and non-refundable, unless otherwise agreed to by Zoom, required by Law, or set forth in your Order Form.

Why it works against you
If you miss the notice window, your plan renews, and that term's payments are final. Notice has to go through the billing portal or by email to renewals@zoom.us. Any reductions in seats or services take effect only at the next renewal, and promotional pricing can lapse when a renewal starts. See auto-renewal clauses explained.
What to ask for instead
Sample wording to propose: "Zoom will email a renewal reminder at least 15 days before the notice deadline. Customers who cancel within 14 days after a renewal receive a pro rata refund of the unused period."
3. Price changes you accept by staying
Zoom may change prices for the Services at any time, in its sole discretion. For changes to your Charges, Zoom will provide you with not less than (i) thirty (30) calendar days prior notice, or (ii) the time period prescribed by applicable Law ... If you do not terminate or modify the affected Services within the applicable Rate Change Notice time period, then you shall be deemed to have automatically accepted the change to your Charges
Source: https://www.zoom.com/en/trust/terms/, retrieved 2026-10-30.
Why it works against you
Thirty days' notice is the minimum, but the increase is up to Zoom alone. If you don't act within that window, your silence counts as acceptance. Zoom can also calculate and change taxes and fees "without notice to you." Late payments can carry interest at "the lesser of 1.5% per month or the highest amount permitted by Law," plus collection costs. See automatic price increase clauses explained.
What to ask for instead
Sample wording to propose: "Price increases take effect only at renewal and are capped at a stated percentage. A customer who objects may cancel without penalty and receive a refund of any prepaid, unused fees."
4. Suspension or termination at Zoom's discretion
if you fail to comply with any provision of this Agreement or any referenced policies, guides, notices, or statements, Zoom may (i) immediately suspend your access to the Services, or (ii) terminate this Agreement, effective immediately. ... Additionally, Zoom may terminate this Agreement, for any reason or no reason, upon thirty (30) business days’ advance notice.

Why it works against you
Any breach can trigger this, including a breach of a linked policy that Zoom can update. No warning or chance to fix the problem is required. While you're suspended, you still owe all charges for the suspension period. After termination, Zoom "may retain any Charges previously paid." You get 30 days to retrieve your content before it's deleted. You can terminate for Zoom's breach only after giving it 30 business days to cure.
What to ask for instead
Sample wording to propose: "Except for urgent security or legal reasons, Zoom will give written notice of the specific breach and a reasonable period to cure it before suspending. If Zoom terminates without cause, it will refund prepaid fees for the unused term."
5. Arbitration, no class actions and a one-year deadline
The parties expressly waive the right to bring or participate in any kind of class, collective, or mass action, private attorney general action, or any other representative action ... any claim or cause of action under this Agreement (with the exception of disputes under Section 27.2(2)) must be filed within one (1) year after such claim or cause of action arose, or else that claim or cause of action will be permanently barred.
Source: https://www.zoom.com/en/trust/terms/, retrieved 2026-10-30.
Why it works against you
Most disputes go to individual arbitration instead of court, and you give up a jury trial. Before filing, you must mail a Pre-Arbitration Demand to Zoom in San Jose and wait 60 days. The one-year deadline may be shorter than what the law would otherwise allow. New users can opt out by emailing opt-out@zoom.us within 30 days of creating their account. Later changes to the terms "do not create a renewed opportunity to opt out." See mandatory arbitration clauses explained. Whether these limits apply to you depends on where you live and is a question for a qualified lawyer.
What to ask for instead
Sample wording to propose: "Claims may be brought within the period allowed by applicable law. Either party may opt out of arbitration by written notice at any time before a dispute arises."
Also worth a look
Zoom's liability is capped at damages "EXCEEDING THE AMOUNT ACTUALLY PAID BY YOU FOR THE SERVICES (IF ANY) IN THE TWELVE (12) MONTHS PRECEDING THE EVENT OR CIRCUMSTANCES GIVING RISE TO SUCH CLAIMS." (Source: https://www.zoom.com/en/trust/terms/, retrieved 2026-10-30.) On a free plan, that cap could be zero where the law allows it. See limitation of liability clauses explained. You also agree to indemnify Zoom for claims tied to your or your End Users' use, including attorneys' fees. See indemnification clauses explained. Any feedback you send is assigned to Zoom, and if you keep using the service after the terms change, you accept the revised terms. For comparison, see Dropbox Terms of Service explained.
